You acknowledge that the WebSite contains content, including magic tricks, secrets, effects, video files, graphics, logos, software and other works (collectively "Content"), that is protected by copyrights, trademarks, trade secrets or other proprietary rights and that these rights are valid and protected in all forms, media and technologies existing now or hereinafter developed. Benefits and Fees

There are three levels of membership in Mark Wilson's Magic University: Campus Visitor, Campus Member and University Member.

As a Campus Visitor, you may browse the Magic Catalogue, purchase individual magic lessons and other items when available on the WebSite, build your own profile and read other members' profiles, participate in the forums and start and maintain your own Magic University Library ("My Library"). Individual Magic Lessons from the Magic University Library may be purchased for $5.00 each. There is no Subscription Fee for Campus Visitors.

As a Campus Member, in addition to all of the privileges accorded to Campus Visitors, you receive 50 Magic Credits per month (a $5.00 value), which can be used to purchase individual magic lessons from the Magic Catalog. Magic lessons are stored in your personal My Library online by Mark Wilson's Magic University, and can be accessed from any computer at any time. Unused Magic Credits roll over to the next month. The features in your Profile become active, and you can upload your personal Blog, photos to your personal Gallery, add comments to the Forums and send messages to other Campus Members. The subscription fee for Campus Members is $5.00 per month.

As a University Member, in addition to all of the privileges accorded to Campus Visitors and Campus Members, you receive 600 Magic Credits per month (a $60.00 value), which can be used to purchase individual magic lessons from the Magic Catalog. Mark Wilson will develop lesson plans for you, teaching you three (3) lessons per week. Expanded features in your Profile are activated, including Ask an Instructor and Priority Messaging. You will receive Priority Notification for all sales and special announcements, including online Coaching Sessions and Invitation Only Lectures. The subscription fee for University Members is $29.95 per month.

What you cannot do

You may not use the WebSite for any commercial or unlawful purposes.

You may not upload, post, reproduce, modify, remove, delete, augment, adapt, revise, add to, publish, transmit, distribute, create derivative works from, or in any way exploit the WebSite, in whole or in part, other than in your personal Profile or in the Magic University Forum.

You may not upload, post, reproduce, augment, modify, adapt, revise, publicly display, transmit, distribute, create derivative works from, or in any way exploit the Content without first obtaining permission from the owner of the copyright or other proprietary right, except as otherwise provided for in these Terms and Conditions.

Mark Wilson's Magic University may refuse to grant you a user name that impersonates someone else, is protected by trademark or other proprietary right, or, in our opinion, is vulgar or otherwise offensive.

You may not use any robot, spider, data miner, or other automated means to access or extract information from the WebSite for any purpose.

You may not decompile, disassemble, or reverse engineer the Content.

You may not frame or utilize framing techniques to enclose the WebSite or any trademark, logo, or other proprietary information of Mark Wilson's Magic University, Magic International, and/or our licensors and contributors.

You may not use our trademarks as keywords, in any meta tags, or in any other hidden text.

YOU MAY NOT USE ANY SOFTWARE OTHER THAN WEB BROWSERS OR SOFTWARE AVAILABLE VIA THE WEBSITE FOR USE IN CONNECTION WITH MAGIC UNIVERSITY CONTENT.

Billing Of Subscription Fees

Unless you qualify for a special promotion, the monthly Subscription Fee will be charged to your credit card in advance of the first day of each calendar month. In the event that a subscription begins on any day of the month other than the first, the subscription fee for the first month will be prorated for the balance of the first calendar month.

Charges for purchases made other than the monthly Subscription Fee will be charged to your credit card on the next billing date.

YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES INCURRED AND FOR PROVIDING MAGIC UNIVERSITY WITH A VALID CREDIT CARD FOR PAYMENT OF SUCH FEES. All fees will be billed to the credit card you designate during the registration process. If you want to designate a different credit card or there is a change in your credit card status, you must change your credit card information online at the "My Account" section of the Web Site or by contacting Customer Service. There may be a temporary disruption in the ability to use the WebSite until Magic University can verify the validity of the new credit card information. You agree that Magic University may use all legal means available to collect any fees owed should our attempts to charge your credit card on record fail for any reason. Magic University will charge you for any collection agency and legal fees it pays while collecting fees from you.

We Can Change Subscription Benefits and Fees With Notice

The benefits and fees of the MarkWilsonMagicUniversity.com Subscription Program, including the amount of Magic Credits included in the service or the operating rules and regulations for this Subscription Program, are subject to change upon notice. These notices may be provided at any time by posting the changes to the Web Site and/or via email to the address provided in your account information.

Availability of Content and Services

We reserve the right to modify, suspend or discontinue MarkWilsonMagicUniversity.com (or any part thereof) or any Magic University Content (or any part thereof) at any time with or without notice to you, and we will not be liable to you or to any third party should we exercise such rights.

Your Account Information

You agree to provide current, complete, and accurate information required to complete your registration (“Registration Data”) with MarkWilsonMagicUniversity.com, any transaction therein, and at other points as may be required in the course of using the WebSite. By registering with this Web Site, you agree that we may store and use Registration Data that you provide, including your credit card information, for use in maintaining your accounts and billing Magic University fees to your credit card.

It is your sole responsibility to maintain the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

If at any time you wish to cancel your membership, you may do so from the “My Account” section of the Website. Your cancellation will be effective at the end of the then current calendar month. Billing for the month of cancellation will be handled in the same manner as a regular subscription month.

If you find a defect in a Magic Lesson that you have downloaded, streamed, or attempted to download or stream from the WebSite, your sole remedy (provided you meet the registration, technical and payment requirements for use of the Magic University) is to email customer service within seven (7) days of your first downloading, stream, or attempt to download or stream the Magic Lesson. We will consult with you on the proper downloading procedures and/or hardware requirements. We will determine, in our sole discretion, whether any credit will be applied to your account.

We're Not Responsible for Your Wrongdoing

You agree to indemnify and hold MarkWilsonMagicUniversity.com, its parent or affiliated companies, subsidiaries, shareholders, officers and directors, agents, employees, and partners from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of your breach of this agreement and/or your use of this WebSite or the Content.

With respect to such material, we are a distributor, not a publisher. When We Can Terminate Your Account

If you fail, or we suspect that you have failed, to comply with any of the provisions of this Agreement, including but not limited to failure to make payment of any fees due, failure to provide MarkWilsonMagicUniversity.com with a valid credit card or with accurate and complete Registration Data, we, at our sole discretion, may: (A) terminate your Magic University Account and this Agreement and you will remain liable for all amounts due under your Account; and/or (B) preclude access to MarkWilsonMagicUniversity.com (or any part thereof). If we exercise this right, charges billed for the month of cancellation will be prorated based on the number of Magic Credits unused.

Applicable Laws

Mark Wilson's Magic University is created and controlled by Magic International in the State of California. The laws of the State of California will govern these Terms and Conditions, without giving effect to any principles of conflicts of laws.

Any Disputes

At our sole election, any dispute relating in any way to your visit to MarkWilsonMagicUniversity.com or to products that you purchase through the WebSite may be submitted to confidential arbitration in California. Otherwise, you agree to submit to the nonexclusive personal jurisdiction of the courts located within California, and waive any objection to the laying of venue of any litigation in said courts.

You shall not bring any legal action under this agreement more than two (2) years after the cause of action arose.

Severability
